Yumina Terms of Use

1. Introduction & Acceptance
Welcome to Yumina. These Terms of Use ("TOU" or "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Yumina, Inc. ("Yumina," "we," "us," or "our"), a C corporation organized under the laws of the State of Delaware, United States of America.
By accessing, browsing, registering for, or otherwise using the Yumina platform, website, applications, and all related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines (collectively, the "Agreements"). If you do not agree to all of these Agreements, you must not access or use the Service.
These Terms apply to all visitors, registered Users, Creators (as defined herein), and any other persons who access or use the Service.
Your use of the Service is also subject to any additional terms, policies, and guidelines that we may post on the Service from time to time. All such additional terms are incorporated into these Terms by reference.
2. Service Description
Yumina is an AI interactive fiction and roleplay platform. The Service enables Users to:
- Create Worlds: Design interactive fiction experiences including characters, variables, rules, game components, audio, and assets;
- Chat with AI Characters: Engage in AI-powered interactive conversations within Worlds, where AI generates character responses in real time;
- Publish and Discover Worlds: Share created Worlds with the Yumina community and discover Worlds published by other Users via the Hub;
- Join Multiplayer Rooms: Participate in shared interactive fiction sessions ("Rooms") with other Users in real time;
- Use AI-Assisted World Building: Create and refine Worlds with the assistance of an AI Studio agent that can propose characters, variables, rules, and other World elements;
- Manage a Library: Organize, play, and manage downloaded or created Worlds;
- Build a Creator Profile: Maintain a public profile showcasing published Worlds, followers, achievements, and engagement statistics;
- Participate in the Creator Rewards Program: Earn revenue from published Worlds through tips and other monetization features (as described in Sections 22 through 27).
The Service is currently provided as a web-based platform. Additional platforms (such as desktop applications) may be introduced in the future at Yumina's discretion.
3. Beta / Early Access Disclaimer
The Service is currently in a closed beta / testing phase. By using the Service during this period, you acknowledge and agree to the following:
- The Service is provided in a pre-release state and may contain bugs, errors, incomplete features, and instability;
- Features, functionality, and content may be added, modified, or removed at any time without prior notice;
- Performance, availability, and reliability are not guaranteed during the beta period;
- Data created during the beta period, including but not limited to Worlds, chat history, account settings, and User Content, may be partially or fully reset upon official launch of the Service. While Yumina will endeavor to preserve User data where feasible, no guarantee of data persistence is made during the beta phase;
- The beta version of the Service may not represent the final quality, features, or performance of the Service upon general availability;
- Your feedback and bug reports during the beta period are appreciated but do not entitle you to any compensation, ownership rights, or credit unless separately agreed in writing.
The disclaimers and limitations in Sections 38 and 39 apply with particular force during the beta period.
4. Eligibility
To use the Service, you must meet the following requirements:
a) Minimum Age. You must be at least thirteen (13) years of age to create an account and use the Service. If the laws of your jurisdiction require a higher minimum age for data processing consent or use of online services (for example, 16 in many European Economic Area member states), that higher age applies to you. If you are under the age required by the laws of your jurisdiction to enter into a binding agreement, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.
b) R-18 Content. You must be at least eighteen (18) years of age to access, view, create, or interact with content rated R-18 (sexually explicit or suggestive content and adult themes). Access to R-18 content requires self-declaration of your birth year confirming you are 18 or older and setting your content level to R-18 in your account settings.
c) No Prior Ban. You must not have been previously banned, suspended, or otherwise restricted from using the Service by Yumina.
d) Legal Capacity. You must have the legal capacity to enter into these Terms under the laws of your jurisdiction.
e) Compliance with Laws. Your use of the Service must not violate any applicable laws or regulations in your jurisdiction.
If Yumina discovers or reasonably believes that you do not meet any of the eligibility requirements stated above, Yumina reserves the right to immediately suspend or terminate your account without notice.
5. Modifications to Terms
Yumina reserves the right to modify, amend, or update these Terms at any time at its sole discretion.
a) Notification of Material Changes. For material changes to these Terms, Yumina will provide notice to Users via one or more of the following methods: email notification to the address associated with your account, in-app notification, or a prominent notice posted on the Service. Such notice will be provided at least fourteen (14) days before the changes take effect, unless the changes are required by law or relate to the addition of new features or services, in which case they may take effect immediately.
b) Continued Use. Your continued access to or use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account in accordance with Section 8.
c) Review. You are encouraged to review these Terms periodically. The "Last Modified" date at the top of this document indicates when these Terms were last revised.
6. Account Registration
a) Registration Methods. To access certain features of the Service, you must create an account. You may register using an email address and password, or through supported third-party authentication providers, which currently include Google, Discord, and X (formerly Twitter). The availability of third-party login methods may change at Yumina's discretion.
b) Accurate Information. You agree to provide truthful, accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy. Providing false, misleading, or outdated information is a violation of these Terms and may result in immediate termination of your account.
c) One Account Per Person. Each individual is permitted to maintain only one (1) account on the Service. Creating multiple accounts, whether to circumvent a ban, manipulate platform features, or for any other purpose, is strictly prohibited.
d) Username. You may be required to select a username or display name for your account. Yumina reserves the right to reclaim, reassign, or require you to change usernames that violate these Terms, the Community Guidelines, applicable laws, or third-party rights, or that Yumina deems inappropriate in its reasonable discretion.
7. Account Security
a) Password and Credentials. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any access tokens associated with third-party login providers. You must not share your account credentials with any other person.
b) No Account Sharing. Your account is personal to you. You may not permit any other person to access or use the Service through your account. You are fully responsible for all activities and actions that occur under your account, whether or not authorized by you.
c) Unauthorized Access. You agree to notify Yumina immediately at [email protected] if you become aware of or suspect any unauthorized access to or use of your account. Yumina is not liable for any loss or damage arising from your failure to secure your account credentials or to promptly report unauthorized access.
d) Session Security. Yumina may implement security measures such as session timeouts, multi-factor authentication, or device verification. You agree to comply with any such measures as they are implemented.
8. Account Termination
a) Termination by Yumina. Yumina reserves the right to suspend, restrict, or permanently terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, the Community Guidelines, or applicable laws; fraudulent or abusive conduct; extended periods of inactivity; or at Yumina's sole discretion in the interest of platform safety and integrity. For Creators with pending earnings in the Creator Rewards Program, Yumina will provide written notice and a statement of reasons prior to termination, except where the termination is due to violations listed in Section 42 of the Community Guidelines (zero-tolerance violations), in which case immediate termination without prior notice applies.
b) Termination by User. You may request deletion of your account at any time through your account settings or by contacting Yumina at [email protected].
c) Data Deletion. Upon account closure, whether initiated by you or by Yumina, your personal data and User Content will be deleted from Yumina's active systems within seven (7) days. Residual copies may persist in encrypted backups or logs for a limited period as required by law, for fraud prevention, or for legitimate business purposes, after which they will be purged in accordance with our data retention policies as described in the Privacy Policy.
d) Effect of Termination. Upon termination, your right to access and use the Service ceases immediately. Any outstanding payments owed to Yumina remain due. Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 10, 12, 16, 38 through 43, and 46 through 50) shall survive termination.
e) No Liability. Yumina shall not be liable to you or any third party for any suspension or termination of your account or access to the Service.
9. Age Verification & Content Rating System
The Service employs a three-tier content rating system. All published content on the Service must be classified under one of the following tiers:
a) All Ages. Content suitable for Users aged 13 and above. This tier permits adventure, conflict, mild peril, and narrative tension but does not allow sexually explicit or suggestive content, or graphic depictions of violence or gore. Mild conflict and heroic adventure are permitted.
b) R-18. Content that is sexually explicit, sexually suggestive, or deals with mature adult themes. This tier is restricted to Users who are at least eighteen (18) years of age. To access R-18 content, a User must:
- Declare their birth year during account registration or in account settings, confirming they are 18 or older; and
- Set their content level to R-18 in their account settings.
c) Age Verification Method. Age verification is currently conducted through self-declaration of birth year combined with content level selection. Yumina reserves the right to implement additional or alternative age verification methods in the future as required by law or at Yumina's discretion.
d) Misrepresentation of Age. Providing a false birth year or otherwise misrepresenting your age to access age-restricted content is a serious violation of these Terms and may result in immediate and permanent account termination. Users who misrepresent their age bear full legal responsibility for any consequences of accessing age-restricted content.
e) Parental Responsibility. Parents and legal guardians are responsible for monitoring their minor children's use of the Service. If you believe a minor is accessing age-restricted content on the Service, please contact us immediately at [email protected].
f) Multiplayer Room Ratings. When creating a multiplayer Room, the host ("Room Host") must assign a content rating (All Ages or R-18) to the Room at the time of creation. The assigned rating establishes the content standards for all interactions within the Room.
g) Joining Restricted Rooms. To join a Room rated R-18, a User must:
- View a confirmation popup that clearly displays the Room's content rating;
- Confirm that they are at least eighteen (18) years of age; and
- Have their content level set to a level that includes the Room's rating (e.g., R-18 for R-18 Rooms).
h) Room Rating Immutability. A Room's content rating cannot be upgraded to a more permissive tier during an active session (e.g., a Room created as All Ages cannot be changed to R-18 mid-session). If participants wish to engage in content at a higher rating tier, a new Room must be created with the appropriate rating.
i) Host Moderation Responsibilities. Room Hosts are responsible for moderating the content and conduct within their Rooms. Hosts have the ability to kick or ban Users from their Rooms. Hosts who persistently fail to moderate their Rooms in accordance with the assigned content rating and the Community Guidelines may lose their hosting privileges at Yumina's discretion.
j) Room Reporting. All participants in a Room may report content or Users that violate these Terms, the Community Guidelines, or the Room's assigned content rating.
10. User Content Ownership
a) Your Content, Your Ownership. Yumina respects your intellectual property. You retain full ownership of all content that you create, upload, publish, or otherwise make available through the Service ("User Content"). User Content includes, but is not limited to:
- Worlds, including all characters, settings, narratives, variables, rules, components, audio tracks, and assets contained therein;
- Text, images, audio, and other media uploaded to the Service;
- Configuration settings, game logic, and creative arrangements within Worlds;
- Messages sent during chat sessions; and
- Profile information and display content.
b) Responsibility. You are solely responsible for your User Content and the consequences of posting, publishing, or sharing it on the Service. You represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions to submit your User Content;
- Your User Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other proprietary rights;
- Your User Content complies with these Terms, the Community Guidelines, and all applicable laws and regulations.
c) No Obligation to Host. Yumina is under no obligation to host, store, display, or distribute any User Content. Yumina reserves the right to remove or disable access to any User Content at any time, for any reason, including but not limited to violation of these Terms or the Community Guidelines.
11. AI-Generated Content Ownership
a) Ownership of AI Chat Content. Content generated by AI within your chat sessions on the Service, including AI character responses, narrative text, and other AI-produced output ("AI-Generated Content"), is considered part of your User Content and belongs to you, subject to the terms and limitations herein.
b) No Guarantee of Uniqueness. Due to the nature of AI language models, AI-Generated Content may be similar or identical to content generated for other Users. Yumina does not guarantee that AI-Generated Content is unique to you, nor does Yumina guarantee any specific intellectual property protection for AI-Generated Content beyond what is provided under applicable law. You acknowledge that AI-Generated Content may not be eligible for copyright protection in all jurisdictions (for example, the U.S. Copyright Office has indicated that purely AI-generated works without sufficient human authorship may not be copyrightable). Yumina makes no representation regarding the copyrightability of AI-Generated Content under applicable law.
c) No Training. Yumina does not use your AI-Generated Content or any other User Content for training AI models owned or operated by Yumina. Third-party AI providers' data practices are addressed in Section 32.
12. License Granted to Yumina
a) Limited License. By submitting, posting, or publishing User Content on or through the Service, you grant Yumina a limited, non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, transmit, cache, store, recommend, and create derivative works of your User Content solely for the following purposes:
- Displaying and Transmitting: Rendering your User Content within the Service to you and to other Users who have access to it;
- Caching and Storage: Temporarily or persistently storing your User Content as necessary to operate the Service, including for performance optimization, backup, and redundancy;
- Recommendation: Including your published Worlds and content in recommendations, search results, feeds, curated collections, and discovery features on the Service;
- Marketing and Promotion: Featuring your published Worlds, excerpts, screenshots, or descriptions in promotional materials, social media posts, blog entries, homepage spotlights, and newsletters operated by Yumina for the purpose of promoting the Service. If Yumina wishes to use your User Content in paid third-party advertisements, Yumina will seek your prior consent unless the use is limited to incidental inclusion in platform-wide promotional materials.
b) No AI Training License. For the avoidance of doubt, the license granted under this Section does not include the right to use your User Content for the purpose of training, fine-tuning, or otherwise developing artificial intelligence or machine learning models.
c) Duration. This license persists for as long as your User Content remains on the Service. Upon deletion of your User Content or account, Yumina will cease active use of your User Content in accordance with Section 8(c), except that:
- Copies of your User Content that have been shared with or downloaded by other Users may persist under the terms of the license granted to those Users (see Section 13);
- Residual copies may persist temporarily in caches, backups, or logs until they are purged through standard operational processes;
- Yumina may retain de-identified or aggregate data derived from your User Content for analytics purposes.
d) Authority to Grant License. You represent and warrant that you have all rights necessary to grant the foregoing license and that doing so does not violate any third party's rights.
13. License Granted to Other Users
a) Access to Published Worlds. When you publish a World on the Service, you grant other Users a non-exclusive, revocable license to access, play, and interact with that World through the Service, subject to the content rating restrictions applicable to that World.
b) Author-Controlled Permissions. When publishing a World, you may configure the following permissions:
- Re-editing: Whether other Users are permitted to create their own modified versions (forks) of your World;
- Exporting: Whether other Users are permitted to export your World data for personal use outside the Service.
These permissions are set by you at the time of publishing and may be updated at any time. Other Users must respect the permissions you have configured.
c) Attribution. Users who create modified versions of your World (where permitted) must maintain attribution to you as the original creator, as displayed by the Service.
d) Revocation. You may unpublish a World at any time, which will revoke other Users' access to it through the Service. However, copies already downloaded or forked by other Users (where you permitted such actions) may persist in those Users' libraries.
14. World Publishing Options
When publishing a World on the Service, the author ("Publisher") may configure the following options:
a) Content Rating. The Publisher must assign an appropriate content rating (All Ages or R-18) to the World. The assigned rating must accurately reflect the content of the World. Yumina reserves the right to reclassify a World's content rating if the assigned rating is deemed inaccurate.
b) Re-Edit Permission. The Publisher may choose to allow or disallow other Users from creating modified versions (forks) of the World. If re-editing is allowed, the original Publisher retains ownership of the original World, and the modifying User owns their modifications.
c) Export Permission. The Publisher may choose to allow or disallow other Users from exporting the World data. If export is disallowed, Users may still play and interact with the World through the Service but may not download the underlying World data.
d) Additional Options. Yumina may introduce additional publishing options in the future. Such options will be communicated to Publishers through the Service.
15. Data Export Rights
a) Export Your Worlds. You have the right to export any World that you have created at any time, regardless of the World's publication status. Export formats and methods will be provided through the Service.
b) Export Your Chat History. You have the right to export your own chat history and session data at any time. Export formats and methods will be provided through the Service.
c) Availability. While Yumina endeavors to maintain export functionality, the specific formats, methods, and availability of data export features may change over time. During the beta period, export features may be limited or under development.
d) Third-Party Content. Your export rights apply only to your own User Content. You may not export other Users' Worlds except where the Publisher has explicitly permitted export (see Section 14(c)).
16. Yumina Intellectual Property
a) Yumina's Ownership. The Service, including but not limited to its source code, object code, software, algorithms, architecture, user interface designs, visual design elements, graphics, logos, trademarks, service marks, trade names, domain names, documentation, and all other proprietary materials (collectively, "Yumina IP"), is and shall remain the exclusive property of Yumina, Inc. or its licensors. Yumina IP is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and international jurisdictions.
b) Limited Use License. Subject to your compliance with these Terms, Yumina grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes (except as expressly permitted under the Creator Rewards Program). This license does not include the right to:
- Modify, adapt, translate, or create derivative works of any Yumina IP;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
- Use Yumina's name, logos, or trademarks without prior written consent;
- Frame, mirror, or otherwise simulate the appearance or function of the Service.
c) Feedback. If you provide Yumina with feedback, suggestions, ideas, or other input regarding the Service ("Feedback"), you grant Yumina an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service for the purpose of improving and operating the Service, without any obligation to you, including without compensation, attribution, or accounting.
17. Paid Services & Subscriptions
a) Paid Features. Yumina may offer certain features, capabilities, or resources for a fee, including subscription plans and credit or message quota purchases (collectively, "Paid Services"). Pricing, feature availability, and plan details for Paid Services are published on the Service and may change from time to time (see Section 21).
b) Subscription Plans. Subscription plans provide access to enhanced features, increased usage quotas, or other premium capabilities for a recurring fee billed on a periodic basis (e.g., monthly or annually). The specific features, quotas, and pricing for each subscription plan are described on the Service at the time of purchase.
c) Credit and Quota Purchases. Users may purchase additional credits or message quotas as one-time transactions. Credits and quotas are non-transferable between Users and have no cash value. Unused credits or quotas may expire as specified at the time of purchase.
d) Payment. All payments are processed through Stripe or such other secure third-party payment processor as Yumina may designate. You agree to provide accurate and complete payment information and to promptly update such information as needed. You are responsible for all charges incurred under your account. Yumina does not directly store your full credit card or bank account details; such information is collected and managed by the payment processor in accordance with its own privacy policy.
e) Taxes. All fees are exclusive of applicable taxes, levies, and duties. You are responsible for paying any such taxes associated with your purchases, except for taxes based on Yumina's net income.
18. Auto-Renewal
a) Automatic Renewal. Unless you cancel your subscription before the end of the current billing cycle, your subscription will automatically renew for successive periods of the same duration at the then-current price. For example, a monthly subscription will renew each month, and an annual subscription will renew each year.
b) Renewal Charges. Upon renewal, Yumina (or its designated payment processor) will automatically charge your designated payment method for the applicable subscription fee. By subscribing, you authorize Yumina and its payment processors to charge your payment method on a recurring basis.
c) Renewal Notifications. Yumina may, but is not obligated to, send you a reminder notification before your subscription renews. It is your responsibility to manage your subscription and cancel before the renewal date if you do not wish to be charged.
19. Cancellation Policy
a) How to Cancel. You may cancel your subscription at any time through your account subscription settings on the Service. Cancellation takes effect at the end of your current billing cycle.
b) Continued Access. Upon cancellation, you will retain access to Paid Services features for the remainder of your current billing cycle. After the billing cycle ends, your account will revert to the free tier, and you will lose access to subscription-only features.
c) No Partial Refunds for Cancellation. Cancellation does not entitle you to a pro-rated refund for the unused portion of your current billing cycle, except as provided in Section 20.
20. Refund Policy
a) Eligibility. You may request a full refund of your most recent subscription payment — whether an initial purchase or an auto-renewal charge — if all of the following conditions are met:
- The refund request is made within seven (7) days of the date of the payment (including auto-renewal payments);
- You have not used any Paid Services features during the current billing cycle, including but not limited to: sending messages, accessing premium features, or utilizing any quota or credits associated with the subscription; and
- No more than one (1) refund has been issued to your account in the preceding twelve (12) months.
b) No Refunds After Use. If you have used any Paid Services features during the current billing cycle, no refund will be issued, regardless of when the request is made.
c) No Refunds After Seven Days. Refund requests submitted more than seven (7) days after the subscription payment date will not be honored, regardless of usage.
d) Credit and Quota Purchases. One-time credit and quota purchases are generally non-refundable. Exceptions may be made at Yumina's sole discretion for technical errors or other extraordinary circumstances.
e) European Economic Area Users. For users in the European Economic Area, statutory withdrawal rights under Directive 2011/83/EU apply to Paid Services. By beginning to use Paid Services (including sending messages, accessing premium features, or utilizing any quota or credits), you expressly consent to the immediate supply of digital content and acknowledge that you thereby lose your right of withdrawal under Article 16(m) of the Directive. If you have not begun using Paid Services, you may exercise your right of withdrawal within fourteen (14) days of purchase by contacting us at [email protected].
f) How to Request. Refund requests must be submitted by contacting Yumina at [email protected] or through the applicable support channel on the Service.
21. Price Changes
a) Right to Change Prices. Yumina reserves the right to change the pricing of Paid Services, subscription plans, and credit or quota packages at any time.
b) Advance Notice. For existing subscribers, Yumina will provide advance notice of price changes at least thirty (30) days before the new pricing takes effect. Notice will be provided via email, in-app notification, or both.
c) Effective Date. Price changes for existing subscribers will take effect at the start of the billing cycle following the notice period. Your continued use of the subscription after the price change takes effect constitutes your acceptance of the new pricing.
d) Option to Cancel. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect in accordance with Section 19.
22. Creator Rewards Program Overview
a) Program Description. Yumina offers a Creator Rewards Program ("Creator Program") that allows eligible Users ("Creators") to earn revenue from their published Worlds and content on the Service.
b) Revenue Split. Creators receive seventy percent (70%) of the net revenue generated from their eligible content. Yumina retains thirty percent (30%) as a platform fee. "Net revenue" means the gross revenue received by Yumina after deducting payment processor fees, chargebacks, and refunds. For the avoidance of doubt, sales tax, value-added tax (VAT), or goods and services tax (GST) collected from users on behalf of tax authorities are excluded from both gross and net revenue calculations and do not reduce the Creator's share.
c) Revenue Sources. Creators may earn revenue from sources made available through the Service, as determined by Yumina, which may include tips from Users, premium World access, and other monetization features introduced from time to time.
d) Program Modifications. Yumina reserves the right to modify the terms of the Creator Program, including the revenue split percentages, eligible revenue sources, and participation requirements, upon reasonable advance notice to Creators.
23. Creator Eligibility
a) Requirements. To participate in the Creator Program, you must meet eligibility criteria as established by Yumina, which may include but are not limited to:
- Maintaining an account in good standing with no active violations;
- Meeting minimum content quality or engagement thresholds;
- Complying with all applicable terms, guidelines, and legal requirements;
- Being of legal age to enter into contracts in your jurisdiction (minimum 18 years of age);
- Providing accurate identity and tax information as required.
b) Application and Approval. Participation in the Creator Program may require an application and approval process. Yumina reserves the right to accept or reject applications at its sole discretion.
c) Ongoing Compliance. Creator eligibility is contingent on ongoing compliance with these Terms, the Community Guidelines, and Creator Program-specific policies. Yumina may revoke Creator status at any time for non-compliance.
d) Evolving Criteria. As the Creator Program develops, Yumina may update eligibility criteria. Changes will be communicated to existing Creators with reasonable advance notice.
24. Withdrawal & Payment
a) Payment Processor. Creator earnings are processed and distributed through Stripe Connect or such other payment processor as Yumina may designate. Creators must create and maintain an active Stripe Connect account (or equivalent account with the applicable payment processor) to receive payments. By joining the Creator Program, you authorize Yumina to share necessary information with Stripe for the purpose of facilitating payments and tax reporting.
b) Withdrawal Availability. Creators may request withdrawal of their available earnings at any time, with no minimum withdrawal threshold. Once a withdrawal is requested, funds will be transferred to the Creator's linked payout method through Stripe.
c) Processing Time. Withdrawal requests are processed in accordance with Stripe's standard payout timelines (typically 2–7 business days, depending on your country and bank). Yumina is not responsible for delays caused by Stripe, banking institutions, or other third parties.
d) Currency. All earnings and payments are denominated in United States Dollars (USD) unless otherwise specified. Currency conversion, if applicable, is handled by Stripe at the exchange rate available at the time of payout.
e) Fees. Payment processor fees, currency conversion fees, and bank transfer fees may apply and are the responsibility of the Creator. Stripe's fee schedule is available at stripe.com and may change from time to time.
25. Creator Tax Obligations
a) Creator Responsibility. Creators are solely responsible for determining and fulfilling their tax obligations arising from earnings through the Creator Program. Yumina does not provide tax advice, and you should consult a qualified tax professional regarding your specific tax obligations.
b) Tax Information Collection via Stripe. As part of onboarding to the Creator Program, Creators are required to provide tax identification and related information through Stripe Connect. US-based Creators will complete a Form W-9 (or equivalent) and non-US Creators will complete the applicable Form W-8 (see Section 25(d)). This information is collected, stored, and managed by Stripe in accordance with Stripe's privacy policy and applicable law. Yumina relies on Stripe to collect and validate this information on its behalf. Failure to provide complete and accurate tax information may result in withholding of payments or suspension from the Creator Program.
c) US Creators — Form 1099. For Creators located in the United States: if your total earnings through the Creator Program meet or exceed the applicable IRS reporting threshold (currently six hundred US dollars ($600) in a calendar year), Stripe will issue a Form 1099-NEC (or applicable successor form) directly to you and file a copy with the Internal Revenue Service, in accordance with IRS requirements. It is your responsibility to ensure that the tax information you provide through Stripe (including your Social Security Number or Employer Identification Number) is accurate and up to date.
d) Non-US Creators — Form W-8. Creators located outside the United States are required to complete and submit the applicable IRS Form W-8 (such as W-8BEN for individuals or W-8BEN-E for entities) through Stripe Connect as part of the Creator Program onboarding process. This form certifies your foreign status and determines applicable tax withholding rates under U.S. tax law and any relevant tax treaties between the United States and your country of residence. Stripe collects, validates, and stores your W-8 form on behalf of Yumina. Failure to submit a valid W-8 form may result in withholding at the maximum statutory rate (currently 30%) on your Creator earnings, or suspension of payouts until a valid form is provided.
e) Tax Withholding. Yumina and/or Stripe may withhold taxes from Creator payouts as required by applicable law, including but not limited to backup withholding for US Creators who fail to provide a valid taxpayer identification number and withholding under IRC Sections 1441–1442 for non-US Creators. The applicable withholding rate depends on the information provided in your tax forms and any applicable tax treaty benefits.
f) Local Tax Compliance. In addition to any US tax obligations, Creators are solely responsible for complying with all tax laws and reporting requirements of their respective jurisdictions, including income tax, value-added tax (VAT), goods and services tax (GST), and any other applicable taxes or levies.
g) Indemnification. You agree to indemnify and hold Yumina harmless from any claims, penalties, interest, or liabilities arising from your failure to properly report or pay taxes on your Creator earnings, or from your provision of inaccurate or incomplete tax information.
26. Platform Rights over Creator Program
a) Suspension and Termination. Yumina reserves the right to suspend or permanently terminate a Creator's participation in the Creator Program at any time, with or without notice, for reasons including but not limited to:
- Violation of these Terms, the Community Guidelines, or Creator Program-specific policies;
- Fraudulent activity, including artificial inflation of engagement or earnings;
- Receipt of a significant number of valid complaints or reports from Users;
- Legal requirements or regulatory obligations;
- Conduct that Yumina reasonably determines is harmful to the platform, its Users, or its reputation.
b) Earnings Freeze. Upon suspension or termination of Creator status, Yumina may freeze the Creator's pending earnings and withhold payment pending investigation. If the suspension or termination is due to fraud or other serious violations, Yumina may forfeit the Creator's pending earnings.
c) Reinstatement. Reinstatement to the Creator Program following suspension or termination is at Yumina's sole discretion.
d) No Guarantee of Earnings. Participation in the Creator Program does not guarantee any specific level of earnings. Revenue depends on factors including User engagement, content quality, and platform conditions.
27. Creator Conduct
a) General Conduct. Creators must conduct themselves professionally and in accordance with these Terms and the Community Guidelines at all times.
b) Prohibited Practices. Creators must not:
- Coerce, threaten, pressure, or shame Users into providing tips, payments, or financial contributions of any kind;
- Withhold content or features as a means of pressuring Users into payment beyond the standard paywall mechanisms provided by the Service;
- Engage in manipulative or deceptive practices to inflate earnings, engagement metrics, or visibility;
- Misrepresent the nature, quality, or content of their Worlds;
- Use the Creator Program to launder money, evade taxes, or engage in any illegal financial activity;
- Create multiple accounts to circumvent Creator Program limitations or to self-tip.
c) Compliance with Laws. Creators must comply with all applicable local, state, national, and international laws and regulations, including consumer protection laws, advertising disclosure requirements, and tax obligations.
28. Compliance with Community Guidelines
All Users, including Creators, must comply with the Yumina Community Guidelines, which are available at /legal/community-guidelines and incorporated into these Terms by reference. The Community Guidelines set forth detailed standards for acceptable conduct on the Service, including content standards, interaction standards, content rating obligations, AI-generated content rules, multiplayer room rules, and real person character policies. Violation of the Community Guidelines constitutes a violation of these Terms and may result in enforcement actions as described in Section 30.
29. Prohibited Conduct
You agree not to engage in any of the following prohibited activities while using the Service:
a) Illegal Activity. Using the Service for any purpose that is illegal under applicable local, state, national, or international law, including the creation, distribution, or facilitation of illegal content.
b) Harassment and Abuse. Engaging in harassment, bullying, intimidation, stalking, doxxing, or targeted abuse of any User or group of Users.
c) Hate Speech. Promoting hatred, violence, or discrimination against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or other protected characteristics.
d) Child Safety. Creating, uploading, distributing, or soliciting any content that sexually exploits, depicts, or endangers minors. This prohibition is absolute and violations will be reported to law enforcement authorities.
e) Impersonation. Impersonating any person or entity, or falsely representing your affiliation with any person or entity, including Yumina staff or representatives.
f) Spam and Manipulation. Sending unsolicited communications; artificially inflating engagement, views, downloads, or ratings; or engaging in coordinated inauthentic behavior.
g) Scraping and Data Collection. Using automated means (bots, crawlers, scrapers, or similar technologies) to access, collect, or extract data from the Service without Yumina's prior written consent.
h) Reverse Engineering. Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or underlying structure of the Service.
i) Service Disruption. Interfering with, disrupting, or placing an undue burden on the Service, its servers, or the networks connected to the Service, including through denial-of-service attacks, exploiting vulnerabilities, or distributing malware.
j) Circumvention. Circumventing, disabling, or interfering with any security, access control, rate-limiting, or content-filtering features of the Service, including age verification mechanisms.
k) Multi-Accounting. Creating or maintaining multiple accounts for any purpose, including to evade bans, manipulate features, or gain unfair advantages.
l) Unauthorized Commercial Use. Using the Service for commercial purposes not expressly authorized by these Terms, including reselling access, operating competing services using Yumina data, or unauthorized advertising.
m) Content Misrating. Intentionally assigning an incorrect content rating to a World or Room to circumvent content restrictions.
n) Deepfake Content. Creating AI-generated sexually explicit or sexually suggestive images, videos, or audio depicting real, identifiable persons, whether or not the person has provided consent.
This list is not exhaustive. Yumina reserves the right to determine, in its sole discretion, what constitutes prohibited conduct.
30. Violations & Enforcement
a) Discretion. Yumina reserves the right, but does not assume the obligation, to monitor the Service for violations of these Terms and the Community Guidelines.
b) Enforcement Actions. Upon identifying a violation, Yumina may take one or more of the following actions at its sole discretion and without prior notice:
- Issue a warning to the User;
- Remove, disable, or restrict access to offending content;
- Temporarily suspend the User's account;
- Permanently terminate the User's account;
- Restrict or revoke Creator status and freeze associated earnings;
- Report illegal activity to appropriate law enforcement authorities;
- Pursue legal remedies as available under applicable law.
c) Appeal. Users who believe an enforcement action was taken in error may submit an appeal to [email protected]. Yumina will respond to appeals within fourteen (14) business days. Yumina will review appeals in good faith but is not obligated to reverse any enforcement decision. Penalties remain in effect during the appeal process.
d) No Liability. Yumina shall not be liable for any enforcement action taken in good faith, whether or not the action is subsequently reversed.
31. AI-Generated Content Disclaimer
a) No Endorsement. AI-Generated Content is produced by third-party artificial intelligence models and does not represent the views, opinions, beliefs, or endorsements of Yumina, its employees, officers, directors, or affiliates.
b) Accuracy. AI-Generated Content may be inaccurate, incomplete, misleading, nonsensical, or factually incorrect. You should not rely on AI-Generated Content for factual information, advice, or decision-making.
c) Offensive Content. Despite Yumina's efforts to implement content safety measures, AI models may occasionally produce content that is offensive, inappropriate, biased, or otherwise objectionable. By using the Service, you acknowledge and accept this risk.
d) User Responsibility. You are solely responsible for evaluating, interpreting, and acting upon AI-Generated Content. You are also responsible for any User Content you create that incorporates or is inspired by AI-Generated Content.
e) No Guarantee of Availability or Quality. Yumina does not guarantee the availability, responsiveness, quality, consistency, or character accuracy of AI-Generated Content. AI performance may vary due to model updates, provider changes, system load, or other factors.
32. Third-Party AI Services
a) Third-Party Processing. AI chat functionality on the Service is powered by third-party AI service providers. When you use AI chat features, your messages and relevant World context data are transmitted to these third-party providers for the purpose of generating AI responses.
b) No Yumina Training. Yumina does not use User Content, including chat messages and AI-Generated Content, for training, fine-tuning, or developing any artificial intelligence or machine learning models owned or operated by Yumina.
c) Third-Party Data Practices. Third-party AI service providers operate under their own terms of service, privacy policies, and data handling practices. While Yumina selects providers that maintain reasonable data protection standards, Yumina does not control and is not responsible for the data practices of third-party AI providers. Users are encouraged to review the Privacy Policy for additional information about the third-party providers used by the Service.
d) Data Minimization. Yumina endeavors to transmit only the data necessary for generating AI responses to third-party providers. However, due to the nature of interactive fiction, this may include substantial portions of your World content, chat history, and game state.
e) Local Inference. The Service also supports Ollama for local inference. When Ollama is configured, AI processing occurs entirely on the User's own device and data is not transmitted to any third-party AI provider. Sections 32(a), (c), and (d) do not apply to locally processed AI interactions.
33. Third-Party Links
The Service may contain links to third-party websites, services, or resources ("Third-Party Links"). Third-Party Links are provided for convenience only and do not constitute an endorsement, sponsorship, or recommendation by Yumina. Yumina has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You access Third-Party Links at your own risk, and you should review the terms and privacy policies of any third-party website or service before providing any personal information or engaging in any transactions.
34. DMCA Notice Procedure
Yumina respects the intellectual property rights of others and expects Users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. Section 512, Yumina will respond to valid notices of copyright infringement.
a) Filing a DMCA Notice. If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, you may submit a written notification to Yumina's designated DMCA Agent containing the following:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Yumina to locate the material (e.g., a URL or specific description);
- Your contact information, including name, address, telephone number, and email address;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
b) DMCA Agent Contact Information.

c) Action Upon Receipt. Upon receipt of a valid DMCA notice, Yumina will promptly remove or disable access to the allegedly infringing material and notify the User who posted the material.
35. Counter-Notification
a) Filing a Counter-Notification. If you believe that material you posted on the Service was removed or disabled as a result of a DMCA notice filed in error or misidentification, you may submit a written counter-notification to Yumina's DMCA Agent containing the following:
- Your physical or electronic signature;
- Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access was disabled;
- A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification;
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, the Central District of California), and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.
b) Restoration of Content. Upon receipt of a valid counter-notification, Yumina will forward a copy to the original complainant and inform them that the removed material may be restored in ten (10) to fourteen (14) business days. Unless the copyright owner files a court action seeking a restraining order against the User who posted the material, the removed material will be restored after the waiting period.
36. Repeat Infringer Policy
a) Policy. In accordance with the DMCA and Yumina's commitment to respecting intellectual property rights, Yumina maintains a policy of terminating the accounts of Users who are determined to be repeat infringers.
b) Determination. A User may be deemed a repeat infringer if Yumina receives more than one valid DMCA notice regarding content posted by that User, or if Yumina otherwise determines that the User has repeatedly infringed copyrights.
c) Termination. Users determined to be repeat infringers will have their accounts permanently terminated and will be prohibited from creating new accounts on the Service.
37. Trademark Claims
If you believe that content on the Service infringes your trademark rights, you may submit a report to Yumina at [email protected] containing the following information:
- Your full name, mailing address, telephone number, and email address;
- Identification of the trademark alleged to be infringed, including registration number(s) if applicable;
- Identification of the content that you believe infringes your trademark, with sufficient detail for Yumina to locate it;
- An explanation of how the content constitutes trademark infringement;
- A statement that you have a good faith belief that the use of the trademark is not authorized by the trademark owner, its agent, or the law;
- A statement that the information you have provided is accurate and that you are the trademark owner or authorized to act on the owner's behalf.
Yumina will review trademark claims and take appropriate action, which may include removal of infringing content, at its sole discretion.
38. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YUMINA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
- WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, VIRUS-FREE, OR FREE OF HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, DATA, OR INFORMATION AVAILABLE THROUGH THE SERVICE;
- WARRANTIES REGARDING THE QUALITY, ACCURACY, OR APPROPRIATENESS OF AI-GENERATED CONTENT;
- WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
THESE DISCLAIMERS APPLY WITH PARTICULAR FORCE DURING THE BETA / EARLY ACCESS PERIOD DESCRIBED IN SECTION 3, DURING WHICH THE SERVICE IS EXPECTED TO CONTAIN BUGS, ERRORS, AND INCOMPLETE FEATURES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE FOREGOING EXCLUSIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
39. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
A) NO INDIRECT DAMAGES. IN NO EVENT SHALL YUMINA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), AND REGARDLESS OF WHETHER YUMINA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
B) MAXIMUM LIABILITY. IN NO EVENT SHALL YUMINA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT YOU HAVE PAID TO YUMINA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
C) ESSENTIAL PURPOSE. THE LIMITATIONS IN THIS SECTION SHALL APPLY EVEN IF ANY REMEDY PROVIDED UNDER THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE.
D) JURISDICTIONAL LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, YUMINA'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
40. User Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS YUMINA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING OUT OF OR RELATING TO:
- YOUR USE OF OR ACCESS TO THE SERVICE;
- YOUR USER CONTENT;
- YOUR VIOLATION OF THESE TERMS, THE COMMUNITY GUIDELINES, OR ANY APPLICABLE LAW OR REGULATION;
- YOUR VIOLATION OR INFRINGEMENT OF ANY THIRD PARTY'S RIGHTS, INCLUDING INTELLECTUAL PROPERTY, PRIVACY, OR PUBLICITY RIGHTS;
- YOUR PARTICIPATION IN THE CREATOR PROGRAM, INCLUDING ANY TAX OBLIGATIONS;
- ANY DISPUTE BETWEEN YOU AND ANOTHER USER OF THE SERVICE.
YUMINA RESERVES THE RIGHT, AT YOUR EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER FOR WHICH YOU ARE REQUIRED TO INDEMNIFY US, AND YOU AGREE TO COOPERATE WITH OUR DEFENSE OF SUCH CLAIMS. YOU AGREE NOT TO SETTLE ANY SUCH MATTER WITHOUT YUMINA'S PRIOR WRITTEN CONSENT.
41. Mandatory Arbitration
a) Agreement to Arbitrate. EXCEPT AS PROVIDED IN SECTION 43 (SMALL CLAIMS EXCEPTION), YOU AND YUMINA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR THE RELATIONSHIP BETWEEN YOU AND YUMINA (COLLECTIVELY, "DISPUTES") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT. THIS AGREEMENT TO ARBITRATE IS INTENDED TO BE BROADLY INTERPRETED.
b) Arbitration Rules. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The AAA Rules are available at www.adr.org or by contacting the AAA. In the event of any conflict between the AAA Rules and these Terms, these Terms shall govern.
c) Individual Arbitration Only. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. NEITHER YOU NOR YUMINA SHALL HAVE THE RIGHT TO HAVE A DISPUTE HEARD AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION (SEE SECTION 42).
d) Governing Law. These Terms and all Disputes shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.
e) Location. Unless otherwise agreed by the parties, arbitration shall take place in Los Angeles County, California, or, at the election of the claimant, may be conducted by telephone, videoconference, or based on written submissions.
f) Arbitrator Authority. The arbitrator shall have exclusive authority to resolve all Disputes, including the scope, enforceability, and arbitrability of this arbitration agreement. The arbitrator may grant any relief that a court of competent jurisdiction could grant, including injunctive or declaratory relief.
g) Costs. Payment of arbitration fees shall be governed by the AAA Rules. If the arbitrator finds that a claim or defense is frivolous or brought for an improper purpose, the arbitrator may award attorneys' fees and costs to the prevailing party.
h) Opt-Out. You may opt out of this arbitration agreement by sending written notice to Yumina at [email protected] within thirty (30) days of creating your account. The notice must include your name, account username, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the remaining provisions of these Terms will continue to apply.
i) EEA, UK, and Swiss Users. This arbitration agreement and the class action waiver in Section 42 do not apply to Users located in the European Economic Area, United Kingdom, or Switzerland to the extent that mandatory consumer protection laws of their jurisdiction prohibit pre-dispute binding arbitration agreements or class action waivers. Such Users retain the right to bring claims in the courts of their country of residence in accordance with applicable law.
42. Class Action Waiver
YOU AND YUMINA AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THE ARBITRATION AGREEMENT IN SECTION 41 SHALL BE NULL AND VOID, AND THE DISPUTE SHALL BE RESOLVED IN THE COURTS SPECIFIED IN SECTION 41(E).
43. Small Claims Exception
Notwithstanding the arbitration agreement in Section 41, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court. If the Dispute is removed from or appealed from small claims court, the arbitration agreement in Section 41 shall apply.
44. Service Modification & Termination
a) Modification. Yumina reserves the right to modify, update, suspend, or discontinue any aspect of the Service at any time, including features, functionality, content, and availability. While Yumina will endeavor to provide reasonable advance notice of material changes, advance notice may not always be possible, particularly during the beta period described in Section 3, during which features, functionality, and content may change without prior notice.
b) Temporary Suspension. Yumina may temporarily suspend the Service or portions thereof for maintenance, updates, security patches, or other operational reasons. Yumina will endeavor to minimize disruption and, where practicable, provide advance notice of planned downtime.
c) Permanent Discontinuation. In the event that Yumina permanently discontinues the Service, Yumina will provide Users with reasonable advance notice and an opportunity to export their User Content where feasible.
d) No Liability. Yumina shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.
45. Export Control
You agree to comply with all applicable export control and sanctions laws and regulations of the United States and other applicable jurisdictions, including the Export Administration Regulations ("EAR") administered by the U.S. Department of Commerce and the sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC").
You represent and warrant that:
- You are not located in, organized under the laws of, or a resident of any country or territory that is subject to comprehensive U.S. sanctions (as designated by OFAC and updated from time to time; as of the effective date of these Terms, this includes Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine);
- You are not a person or entity on any U.S. government restricted parties list, including the Specially Designated Nationals and Blocked Persons List ("SDN List");
- You will not use the Service in violation of any applicable export control or sanctions laws.
Yumina reserves the right to restrict or terminate access to the Service for any User or in any jurisdiction as required by applicable export control or sanctions laws.
46. Entire Agreement
These Terms, together with the Privacy Policy, the Community Guidelines, and any other policies or agreements expressly referenced herein or published on the Service, constitute the entire agreement between you and Yumina with respect to your use of the Service. These Terms supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether written or oral, between you and Yumina regarding the Service.
47. Severability
If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect.
48. No Waiver
The failure of Yumina to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Yumina. No waiver shall be deemed a continuing waiver or a waiver of any other provision.
49. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, without Yumina's prior written consent. Any attempted assignment in violation of this provision shall be null and void.
Yumina may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any person or entity without your consent and without notice, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
50. Force Majeure
Yumina shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond Yumina's reasonable control, including but not limited to: natural disasters (including earthquakes, floods, hurricanes, and wildfires); acts of God; epidemics or pandemics; war, terrorism, insurrection, or civil unrest; cyberattacks, including distributed denial-of-service attacks, hacking, or ransomware; government actions, sanctions, embargoes, or regulatory changes; failures of third-party service providers, including AI providers, cloud hosting providers, and payment processors; power outages; internet or telecommunications failures; strikes or labor disputes; or any other event beyond Yumina's reasonable control.
